Cash Account Terms of Service
Version 1.0 · effective Nov 1, 2026 · the hash of this text is recorded with every acceptance
- ReturnFold is a trade name of AHLC Holdings LLC, a Wyoming limited liability company. ReturnFold is not a bank. Your Cash Account is not a deposit account, not a savings account, not FDIC-insured, and not an investment product.
- Your Balance is an unsecured debt AHLC Holdings LLC owes you. Money you transfer becomes ours the moment it settles; we commingle it and lend it to businesses, including businesses owned by our principals, and we bear the credit risk of those loans. If we cannot pay, you could lose some or all of your Balance.
- The Cash Account rate is variable: we may raise it at any time and lower it with seven days' notice in the app. A Term Bucket's rate is fixed for its term; leaving early forfeits 90 or 180 days of interest, never principal.
- Each transfer in is withdrawable 60 days after it settles. Withdrawals go only to your one linked bank account, oldest transfers first.
- You can change the linked account. A change holds withdrawals for 30 days, and we confirm you own the new account before any money is sent to it.
- You may close the account at any time. Our liability to you is capped at the greater of $100 and the fees you paid in the prior twelve months, except where the law does not allow a cap.
- Disputes are resolved by individual arbitration; you waive jury trial and class actions. You may opt out of arbitration within 30 days of accepting.
AHLC Holdings LLC, doing business as ReturnFold · Version 1.0 · Effective November 1, 2026
1. This agreement
These Cash Account Terms of Service (the "Terms") are a contract between you and AHLC Holdings LLC, a Wyoming limited liability company doing business as ReturnFold ("ReturnFold," "we," "us" and "our"), 30 N Gould St, Suite R, Sheridan, WY 82801. They govern the ReturnFold Cash Account, Term Buckets, the ReturnFold website and mobile application (together, the "App") and every service we provide through them (the "Services").
You accept these Terms by checking the acceptance box during sign-up, and again each time you use the Services. If you do not agree, do not open an account. The ReturnFold Privacy Policy and any product-specific terms we present in the App are part of this agreement. If a product-specific term conflicts with these Terms, the product-specific term controls for that product.
Electronic records and signatures. By accepting these Terms you consent, under the Electronic Signatures in Global and National Commerce Act (E-SIGN), to receive every agreement, disclosure, statement, tax form and notice from us electronically, in the App or at the email address on your account, and to sign electronically. To do so you need a device with internet access, a current browser or the ReturnFold app, an email address you check, and the ability to save or print PDF files. You may withdraw this consent only by closing your account; we do not offer paper delivery, so withdrawing consent ends the Services. You may request a paper copy of any record by writing to us at the address above, subject to the fee in Section 14.
Defined terms. "Balance" means the amount we owe you under this agreement at any time, including interest we have posted. "Linked Account" means the bank account you have connected to the App under Section 4. "Transfer in" means money you move from your Linked Account to us. "Business day" means Monday through Friday, excluding federal holidays. "Aged" money is a transfer in that has completed the aging period in Section 5.
2. Important disclosures. Please read these first.
- ReturnFold is not a bank. AHLC Holdings LLC is not a bank, credit union, trust company, broker-dealer or investment adviser, and is not chartered, licensed or supervised as any of them.
- Your Cash Account is not a deposit account. It is not a savings account, checking account, money market account or certificate of deposit, and amounts in it are not deposits.
- Your Balance is not insured. Amounts in your Cash Account and Term Buckets are not insured or guaranteed by the Federal Deposit Insurance Corporation (FDIC), the National Credit Union Administration, the Securities Investor Protection Corporation or any other government agency.
- Your Balance is a debt we owe you. It represents an unsecured obligation of AHLC Holdings LLC to pay you that amount, plus the interest these Terms provide. Your money is not held for you in escrow, in trust or in a segregated account.
- We use your money as our own. When you transfer money to us it becomes ours. We use it to make loans to businesses, including businesses owned by our principals, and for our general purposes, and we bear the credit risk of those loans. If we cannot pay, you could lose some or all of your Balance.
- Cash Account rates change. The Cash Account rate is variable and we may change it as described in Section 6. Term Bucket rates are fixed for the term you choose.
- This is not an investment product. We do not offer investment advice, and nothing in the App is a recommendation to put money with us.
- Your money is not available instantly. Each transfer in must complete a 60-day aging period before you can withdraw it or place it in a Term Bucket, and withdrawals go only to your Linked Account under the limits and processing times in Section 8. There is no debit card, check writing or bill pay.
3. Eligibility
To open and keep an account you must, at all times:
- be at least 18 years old and able to enter a binding contract;
- be a resident of the United States with a United States residential address (not a post office box) and a Social Security number or Individual Taxpayer Identification Number;
- hold a checking or savings account at a United States financial institution in your own name, which you will connect as your Linked Account;
- pass our identity verification and screening, including screening against the sanctions lists maintained by the Office of Foreign Assets Control;
- use the account only for personal, family or household purposes, and only with your own money; and
- hold no other ReturnFold account. One account per person; joint accounts, business accounts, custodial accounts and accounts for minors are not offered.
We may decline to open an account, or may limit the Services, for residents of any state or jurisdiction, and the App shows where the Services are currently available. We may decline any application without giving a reason, and we may close an account whose holder no longer meets these requirements (Section 11).
4. Opening an account, identity verification and your Linked Account
Identity verification. When you apply we collect your legal name, date of birth, residential address, Social Security number or Individual Taxpayer Identification Number, phone number, email address, an image of a government-issued photo identification and a selfie. We verify this information through Plaid Inc. ("Plaid") and other service providers, and we may ask you for more documents at any time, including after your account is open. If we cannot verify you, we will not open the account; if money has already arrived, we return it to the account it came from.
Your Linked Account. You must connect one, and only one, bank account to the App (your "Linked Account"). It must be a checking or savings account at a United States financial institution held in your name, and the name on it must match the name on your ReturnFold account. You connect it through Plaid Link, and you authorize Plaid to retrieve your account and routing numbers, account ownership details and balance information and to share them with us. Plaid's handling of your information is governed by the Plaid End User Privacy Policy. We never see or store your online banking credentials.
Every transfer in comes from your Linked Account, and every withdrawal goes to it. We do not accept money from, or send money to, any other account.
Changing your Linked Account. You may replace your Linked Account in the App. When you do, we verify ownership of the new account, and withdrawals are suspended for 30 days from the change while we confirm it. You may continue to add money during that period, and interest continues to accrue. If your bank closes your Linked Account or the connection fails, you must connect a replacement before you can withdraw.
Your information must stay current. You agree to keep your name, address, phone number, email address and Linked Account details accurate, and to tell us promptly about any change. We may suspend the Services while we re-verify changed information.
5. Adding money
How transfers in work. You add money by requesting a transfer in the App, either a one-time transfer or an Auto-Transfer of a fixed amount on a schedule you choose. We collect the money from your Linked Account through the Automated Clearing House (ACH) network. A transfer in is credited to your Balance when it settles to us, normally one to three business days after you request it, and begins earning interest on the day it settles.
ACH authorization. When you request a transfer in, you authorize AHLC Holdings LLC, doing business as ReturnFold, and our payment processor to debit your Linked Account by ACH for the amount you entered, on or after the date you selected. When you set up an Auto-Transfer, you authorize recurring debits of the amount you chose, on the schedule you chose, until you cancel it. You may cancel an Auto-Transfer in the App at any time; a cancellation made at least three business days before a scheduled debit stops that debit. We will not re-initiate a transfer that your bank returns; you may request a new one. We keep a record of each authorization, including the date, time, amount, account and the device it came from, and will give you a copy on request.
Limits. Limits apply per transfer and to your total Balance, and we may lower them at any time for risk reasons:
| Limit | Amount |
|---|---|
| First transfer in | $2,500 |
| Later transfers, until your first transfer has aged | $2,500 each |
| Transfers after your first transfer has aged | $10,000 each |
| Transfers after 90 days and two completed transfers | No per-transfer cap beyond processor limits |
| Maximum Cash Account Balance | $250,000 |
| Maximum Balance across Cash Account and Term Buckets | $1,000,000 |
Aging. Every transfer in is held in an aging period of 60 calendar days from the day it settles to us. During aging the money earns interest at the Cash Account rate, but you cannot withdraw it or place it in a Term Bucket. Aging protects you and us against ACH returns, which can arrive up to 60 days after settlement. The App shows each transfer and the date it becomes aged.
Returns and reversals. If your bank returns a transfer in for any reason (insufficient funds, closed account, a claim that the transfer was not authorized, or otherwise), we reverse the credit to your Balance and reverse any interest it earned. If a return leaves your Balance below zero, you owe us the difference and authorize us to collect it from money you later transfer in or from your Linked Account. Repeated returns, or a return claiming the transfer was unauthorized, are grounds for closing your account.
What we do not accept. We do not accept cash, checks, wires, card payments, cryptocurrency, or money from any account other than your Linked Account. We may decline or reverse any transfer in at our discretion, including when we believe the money is not yours, the transfer breaches a limit, or the transfer presents fraud or legal risk.
6. Interest on the Cash Account
The rate. Your Cash Account earns interest at the Cash Account rate shown in the App. The rate is variable: we may raise it at any time, and we may lower it by posting the new rate in the App at least seven days before it takes effect. A rate change applies only to interest accruing on and after its effective date. Rates are stated as annual rates. Because interest compounds daily, the yield over a full year is slightly higher than the stated annual rate.
How interest accrues. Interest accrues every calendar day on that day's closing Balance, at the annual rate divided by 365, and is posted to your Balance daily. Posted interest becomes part of your Balance and itself earns interest. Interest is calculated to the cent and rounded half up. Money earns interest from the day it settles to us through the day before it leaves.
Bonus rates. Two bonuses are added to the Cash Account rate while you qualify, and the App shows which apply to you:
- Auto-Transfer bonus. An additional 0.25% per year while you have an active Auto-Transfer of at least $100 per month and its scheduled transfers are completing. The bonus stops the day after a scheduled transfer fails or you cancel the Auto-Transfer, and resumes the day after a new one completes.
- Tenure bonus. An additional 0.25% per year beginning twelve months after your first transfer in settled, provided your Balance has not fallen to zero since.
Promotional rates. We may offer promotional rates or bonuses with their own terms, which we will state when we offer them. A promotion we do not renew ends on its stated date without further notice.
Taxes. Interest and bonuses are taxable income to you. See Section 15.
7. Term Buckets
What a Term Bucket is. A Term Bucket is a commitment to leave a fixed amount with us for a term of 6, 12, 24 or 36 months in exchange for a fixed annual rate that is locked when you open it. The rate for each term, and any higher rate tier for larger amounts, is shown in the App when you open the bucket, and we will not change the rate or term of an open bucket.
Opening a bucket. You open a Term Bucket in the App from aged money in your Cash Account. The minimum is $1,000. Money in a bucket counts toward the $1,000,000 total limit in Section 5. We may decline to open a bucket, limit its amount, or stop offering a term at any time, without affecting buckets already open.
Interest. Interest accrues daily on the bucket at its fixed annual rate divided by 365, compounds daily, and is posted to the bucket. It is not available to withdraw until the bucket closes.
Maturity. We notify you in the App at least 14 days before a bucket matures. At maturity the principal and posted interest return to your Cash Account as aged money, unless you have chosen auto-renewal, in which case the bucket renews for the same term at the rate then offered for that term plus a loyalty bonus of 0.10% per year. You may turn auto-renewal on or off at any time before maturity.
Early exit. You may close a Term Bucket before maturity in the App. If you do, you forfeit interest equal to 90 days of interest at the bucket's rate for a 6- or 12-month bucket, or 180 days of interest for a 24- or 36-month bucket. The forfeit never exceeds the interest the bucket has earned, so you never lose principal. The remaining principal and interest return to your Cash Account as aged money. We may waive the forfeit on the death of the account holder.
Partial withdrawals from a bucket are not offered; an early exit closes the whole bucket.
8. Withdrawals
How withdrawals work. You request a withdrawal in the App. We send it by ACH to your Linked Account only. Only aged money can be withdrawn, and withdrawals draw from your oldest transfers first. A request received before 2:00 p.m. Eastern time on a business day is sent that day or the next business day, and normally arrives in your Linked Account one to three business days after it is sent. Interest accrues through the day before the money is sent.
Limits. The per-transfer limit is $10,000. A larger withdrawal is sent in daily installments, or, if you ask and we agree, by wire from our bank after we verify the request, at the fee in Section 14. We may set a daily or monthly withdrawal limit for your account and will show it in the App.
Verification. A withdrawal of more than $1,000, a withdrawal requested from a device we have not seen before, and any withdrawal within 30 days of a change to your Linked Account, email, phone number or password requires a fresh code from your authenticator app.
Holds and delays. We may delay or hold a withdrawal while we review it if we suspect fraud or unauthorized access, if a transfer in is returned or disputed, if we are re-verifying your identity or Linked Account, if a court order, levy, garnishment or other legal process requires it, or if a law or our payment processor requires it. We will tell you about a hold, and why, unless the law does not permit us to.
Extraordinary demand. If withdrawal requests from all customers in any rolling 30-day period exceed 20% of all customer Balances, we may process withdrawals in the order received and limit each customer to $10,000 per 30 days until the excess has cleared. We will post a notice in the App while this limit is in effect, interest continues to accrue on any amount waiting to be sent, and we will lift the limit as soon as the condition ends. This clause exists because we lend the money you place with us, and it lets us pay every customer in an orderly way rather than only the fastest.
No other access. We do not offer a debit card, checks, bill pay, cash withdrawals, or transfers to anyone other than you at your Linked Account.
9. Our use of your funds and the nature of our obligation
Ownership. Money you transfer to us becomes the property of AHLC Holdings LLC the moment it settles, with all attendant rights of ownership. We record the amount as your Balance, which is our debt to you. We may commingle it with our other funds and with other customers' funds, lend it, invest it, pledge it, hold it at banks of our choosing, and use it for any purpose we choose. Any return we earn on it belongs to us, and any loss we suffer on it is ours. We owe you only the Balance and the interest these Terms provide.
No trust, no fiduciary duty. We are not your agent, trustee, custodian or fiduciary. We do not segregate your money, hold it in escrow or hold it in trust, and you have no interest in any loan we make, any collateral we take, or any property we buy.
Ranking. Our obligation to pay your Balance is unsecured. It ranks equally with our other unsecured senior obligations and ahead of the subordinated notes we issue to private investors, which by their terms are paid only after Cash Account and Term Bucket customers. We maintain a liquidity reserve under a written policy, but the reserve is our property, is not held for your benefit, and the policy may change.
What we do with the money. We make loans to limited liability companies and corporations for business purposes, secured by business assets, real estate or personal guarantees, including loans to companies owned or controlled by our principals. Loans to those companies are made on terms no more favorable to the borrower than the terms we offer unaffiliated borrowers under our lending policy. We also hold United States Treasury securities and cash. We publish a general description of our lending policy on our website; it is information, not a promise, and we may change it.
No participation. You are not a lender to any borrower of ours, a member or partner of ours, or an investor in our business. Your return is the interest stated in these Terms and nothing more.
10. Risks you accept
By placing money with us you accept these risks, each of which could cause you to lose some or all of your Balance or to receive it later than you expect:
- Our credit. Your Balance is an unsecured obligation of one company. If our borrowers do not repay us, if the collateral we hold proves insufficient, or if we become insolvent, we may be unable to pay you. No insurance fund or government agency stands behind us.
- Early-stage company. AHLC Holdings LLC began offering the Cash Account in 2027 and has a short operating history. Our loan book is small and concentrated, and in our first years a large share of it may consist of loans to a small number of borrowers, including companies owned by our principals.
- Rates. The Cash Account rate can fall. Term Bucket rates are fixed, but the rate offered on renewal may be lower.
- Liquidity. We lend money for longer periods than the notice you must give us to withdraw. The aging period, the withdrawal limits and the extraordinary-demand clause in Section 8 exist for that reason, and you may not be able to withdraw as quickly as you want.
- Operations. We depend on Plaid, on our banks and on the ACH network. An outage, a change in their terms, or the loss of a relationship could delay transfers or require us to change how the Services work.
- Law and regulation. The laws that apply to a company like ours can change, and a regulator or court could require us to change or stop the Services, which could delay the return of your money.
- Taxes. Interest is taxable to you in the year it is posted, whether or not you withdraw it.
11. Term of this agreement, closing your account, inactivity and death
Term. This agreement has an initial term of five years from the day you open your account and renews automatically for successive one-year terms unless you or we give notice of non-renewal at least 30 days before the end of the current term. Non-renewal has the same effect as closing the account at the end of the term.
Closing by you. You may close your account in the App at any time. We send your aged Balance to your Linked Account under Section 8, send any unaged money as it ages, and close any open Term Bucket under the early-exit terms in Section 7 unless you choose to wait for maturity. The account closes when your Balance reaches zero.
Closing by us. We may close your account for any reason on 30 days' notice, and immediately, without notice, if you breach these Terms, if we cannot verify your identity or your Linked Account, if a transfer in is returned as unauthorized, if we believe the account is being used for fraud or an unlawful purpose, if the law or a sanctions list requires it, or if you no longer meet the eligibility requirements in Section 3. When we close your account we pay your Balance, including Term Bucket principal and posted interest without any early-exit forfeit, to your Linked Account, or by check to your address on file if no valid Linked Account exists, after any amounts you owe us and any hold required by law.
Inactivity. If you have not signed in or made a transfer for 24 months, we will try to reach you at the contact details on file. State unclaimed-property laws may then require us to report your Balance to the state of your last known address and to deliver it to that state, after which you must claim it from the state. We do not charge an inactivity fee.
Death or incapacity. We do not offer payable-on-death designations. On your death, your estate's personal representative may claim your Balance by sending us a certified death certificate, letters of administration or an equivalent court document, and a completed claim form. Interest continues to accrue until we pay the estate. On incapacity, a court-appointed guardian or an attorney-in-fact under a durable power of attorney may act for you after we verify the authority.
Legal process. If we receive a garnishment, levy, subpoena or other legal process concerning your account, we may hold or pay out your Balance as the process requires, and we may charge the fee in Section 14.
12. Electronic transfers, errors and unauthorized transactions
This section is our disclosure under the Electronic Fund Transfer Act and Regulation E, to the extent they apply to your account. Where they do not apply, we follow this section anyway as a matter of contract.
Transfers we offer. Transfers in from your Linked Account (one-time and Auto-Transfer), withdrawals to your Linked Account, and movements between your Cash Account and Term Buckets. The limits in Sections 5, 7 and 8 apply. We do not offer transfers to third parties, point-of-sale transactions or ATM access.
Documentation. The App shows every transfer as it happens, and you receive a monthly electronic statement (Section 16).
Your liability for unauthorized transfers. Tell us AT ONCE if you believe your sign-in credentials, authenticator or device have been lost, stolen or used without your permission, or that someone has withdrawn money from your account without your permission. Telephoning or messaging us in the App is the best way to keep your possible losses down. You could lose all the money in your account. If you tell us within two business days after you learn of the loss or theft, you can lose no more than $50 if someone used your credentials without your permission. If you do NOT tell us within two business days after you learn of the loss or theft, and we can prove we could have stopped someone from using your credentials without your permission if you had told us, you could lose as much as $500. Also, if your statement shows transfers that you did not make, tell us at once. If you do not tell us within 60 days after the statement was sent to you, you may not get back any money you lost after the 60 days if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason, such as a long trip or a hospital stay, kept you from telling us, we will extend the time periods.
How to contact us about errors or questions. Message us in the App, email support@returnfold.com, call the number shown in the App, or write to AHLC Holdings LLC d/b/a ReturnFold, 30 N Gould St, Suite R, Sheridan, WY 82801, as soon as you can if you think your statement or a transfer record is wrong or if you need more information about a transfer. We must hear from you no later than 60 days after we sent the FIRST statement on which the problem or error appeared. Tell us your name and account email, describe the error or the transfer you are unsure about and explain as clearly as you can why you believe it is an error or why you need more information, and tell us the dollar amount of the suspected error. If you tell us orally, we may require that you send your complaint in writing within 10 business days.
What we will do. We will determine whether an error occurred within 10 business days after we hear from you and will correct any error promptly. If we need more time, we may take up to 45 days to investigate, and if we do, we will credit your Balance within 10 business days for the amount you think is in error, so that you have use of the money during our investigation. If we ask you to put your complaint in writing and do not receive it within 10 business days, we may not credit your account. For a transfer that occurred within 30 days after your first transfer in, these periods are 20 business days and 90 days. We will tell you the results within three business days after completing our investigation. If we decide there was no error, we will send you a written explanation, and you may ask for copies of the documents we used.
Our liability. If we do not complete a transfer to or from your account on time or in the correct amount according to this agreement, we will be liable for your losses or damages. We will not be liable if, through no fault of ours, your Balance is insufficient or the money is not yet aged; if your Linked Account cannot receive the transfer; if the App or the ACH network was not working properly and you knew about the breakdown when you started the transfer; if a hold under Section 8 or legal process applies; if circumstances beyond our control (such as fire, flood or a bank or network outage) prevent the transfer despite reasonable precautions; or in the other cases these Terms describe.
Confidentiality. We disclose information about your account and transfers to third parties only as the Privacy Policy describes: where necessary to complete transfers, to verify the existence and condition of your account for a third party such as a credit bureau or merchant, to comply with a government agency or court order, or with your permission.
13. Account security and your responsibilities
- Keep your email account, password, one-time codes and authenticator app private. Anyone who has them can act as you. Never share a code with anyone, including someone claiming to work for ReturnFold; we will never ask you for a code, your password or your bank sign-in.
- You must enroll an authenticator app before your first withdrawal, and you cannot remove it afterward without contacting us and re-verifying your identity.
- Use a device you control, keep its operating system current, and do not use the App on a device that has been jailbroken or rooted.
- Tell us immediately, in the App or by email to support@returnfold.com, if you lose your device, if your email account is compromised, or if you see any activity you did not authorize. Section 12 describes how your liability depends on how quickly you tell us.
- We may suspend your account, require re-verification, or block a transfer whenever we believe your credentials have been compromised or the account is being accessed by someone other than you, and we are not liable for any delay that results.
- We record sign-ins, transfers and settings changes, including the date, time, network address and device, and may use that record in any dispute.
14. Fees
We charge no fee to open, keep or close an account, and no fee for ACH transfers in or out. The only charges are these:
| Item | Fee |
|---|---|
| Monthly or annual account fee | None |
| Transfer in or withdrawal by ACH | None |
| Returned transfer in | None for the first return; $15 for each later return in the same 12 months |
| Outgoing wire you request under Section 8 | Our bank's wire charge, currently $30 |
| Early exit from a Term Bucket | Interest forfeit under Section 7; no cash fee |
| Paper copy of a statement, tax form or other record | $5 per document |
| Responding to a garnishment, levy or subpoena on your account | $25, where state law permits |
We may deduct any fee from your Balance. We may change fees on 30 days' notice in the App, and a new fee never applies to a transaction you requested before the notice.
15. Tax reporting
Interest, bonuses and referral payments are interest income to you for United States federal tax purposes in the year they are posted to your Balance, whether or not you withdraw them. By accepting these Terms you certify, under penalties of perjury, that the taxpayer identification number you gave us is correct and that you are not subject to backup withholding, unless you tell us otherwise. If we receive a notice from the Internal Revenue Service that your number is wrong or that you are subject to backup withholding, or if you do not certify your number, we will withhold 24% of the interest we post and remit it to the Internal Revenue Service. We issue a Form 1099-INT electronically in the App each January for any year in which we posted $10 or more of interest to your account. We do not give tax advice; consult your own adviser.
16. Statements, notices and communications
Statements. We post a statement in the App each month showing your opening and closing Balance, every transfer, interest posted, and each Term Bucket. Review it promptly and tell us about any error within the time in Section 12.
Notices from us. We give notices in the App, by email to the address on your account, or by text message to your phone number. A notice is effective when we post or send it. Keep your email address and phone number current; a notice sent to the address on file is effective even if you do not receive it.
Text messages. By giving us a mobile number you agree that we may send you security codes and account alerts by text message, including through automated systems. Message and data rates may apply. Security codes are part of the Services and cannot be turned off while your account is open. You may stop marketing texts at any time by replying STOP.
Notices to us. Send legal notices to AHLC Holdings LLC d/b/a ReturnFold, 30 N Gould St, Suite R, Sheridan, WY 82801, with a copy to legal@returnfold.com. Send support requests through the App or to support@returnfold.com.
Recording. We may record and keep calls, chats and messages with you for training, security and dispute purposes.
17. Referral program
When a person you refer opens an account using your referral link or code, and their first transfer in of at least $100 completes its aging period, we post $25 of interest to your Balance and $25 to theirs. Each person may be referred once, and you may not refer yourself, a household member who shares your Linked Account, or anyone you pay or solicit through advertising, bulk messaging or any promise of a return. Referral payments are interest income reported under Section 15. We may change or end the program at any time without affecting referrals that have already completed aging, and we may withhold a payment we believe was earned in breach of this section.
18. Prohibited uses
You may not use the Services:
- for any business, commercial or investment-club purpose, or to hold money that belongs to anyone other than you;
- to open more than one account, or to open an account for someone else;
- to launder money, finance terrorism, evade sanctions or taxes, or conceal the source of funds;
- with money obtained unlawfully or from an account you are not entitled to use;
- to evade a limit, a hold or a closure, including by opening a new account after we close one;
- through automated means, scraping, bots or any interface other than the App;
- to probe, reverse engineer, interfere with or circumvent the security of the App; or
- in any way that breaks the law or these Terms.
We may freeze, close or report an account used in any of these ways, and we may keep enough of your Balance to cover any loss we suffer as a result.
19. The App, your license and our intellectual property
We grant you a personal, limited, revocable, non-transferable license to use the App to access the Services under these Terms. The App, its design, text, code, trademarks, including the ReturnFold name and logo, and all related intellectual property belong to AHLC Holdings LLC or our licensors, and you receive no rights in them other than this license. If you send us feedback or suggestions, we may use them without obligation to you.
The App is distributed through the Apple App Store and Google Play under their terms, which also apply to your use of the mobile app. Apple and Google are not parties to this agreement and are not responsible for the Services. Parts of the Services are provided by third parties, including Plaid, under their own terms, which you accept when you use those parts.
We may change, suspend or discontinue any part of the App at any time, and the App may be unavailable during maintenance, outages or events beyond our control. Your right to your Balance does not depend on the App's availability; if the App is unavailable for an extended period you may contact us by email or mail to withdraw.
20. Disclaimers and limitation of liability
The App is provided as is. To the fullest extent the law allows, we provide the App and the Services without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the App will be uninterrupted, error-free or secure, or that any rate will remain in effect.
What this section does not limit. Nothing in this section limits our obligation to pay you your Balance and the interest these Terms provide, our liability under Section 12 where the law does not allow it to be limited, or liability for our fraud or willful misconduct.
Cap. For every other claim arising out of or relating to these Terms or the Services, whether in contract, tort, statute or otherwise, our total liability to you is limited to the greater of $100 and the fees you paid us in the twelve months before the claim arose.
No indirect damages. We are not liable for lost profits, lost opportunity, loss of use, or any indirect, incidental, consequential, special, exemplary or punitive damages, even if we were told they were possible.
Some states do not allow some of these limitations, so some may not apply to you; in that case the limitation applies to the fullest extent that state's law permits.
21. Indemnification
You agree to defend, indemnify and hold harmless AHLC Holdings LLC, its members, managers, officers, employees, contractors and service providers from any claim, loss, liability, cost or expense, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of any law or the rights of any third party, your use of the Services for a prohibited purpose, a transfer in that is returned or reversed, or any dispute between you and a third party about money in your account. We may control the defense of any claim covered by this section, at your expense, and you will cooperate with us.
22. Dispute resolution: individual arbitration and class action waiver
Please read this section carefully. It affects your rights. It requires you to arbitrate disputes with us individually and waives your right to a jury trial and to participate in a class action. You may opt out within 30 days.
Talk to us first. Before starting arbitration or a lawsuit, you agree to send a written notice of dispute to legal@returnfold.com or to our mailing address, describing the problem and what you want, and to give us 60 days to resolve it. We will do the same before bringing a claim against you. Many disputes are resolved this way.
Agreement to arbitrate. Any dispute, claim or controversy between you and AHLC Holdings LLC (including its affiliates, members, managers, employees and service providers) arising out of or relating to these Terms, the Services, your account or our relationship, whether based in contract, tort, statute or any other theory, and whether arising before or after you accepted these Terms, will be resolved by binding arbitration rather than in court, except that either party may bring an individual claim in small claims court if it qualifies, and either party may seek a temporary court order to protect its rights while arbitration is pending.
Rules and forum. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, which are available at adr.org. The Federal Arbitration Act governs this section. A single arbitrator will decide the dispute, including any question about whether a claim is subject to arbitration. The hearing will be held by video conference or in the county where you live, at your choice. The arbitrator may award any relief a court could award to the individual party, and must follow these Terms as a court would.
Costs. You pay the consumer filing fee set by the AAA Consumer Arbitration Rules, and we pay all other AAA and arbitrator fees. If the arbitrator finds your claim frivolous, the AAA rules on fee allocation apply. Each party pays its own attorneys' fees unless the arbitrator awards them under applicable law.
Individual claims only. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding. If this paragraph is found unenforceable as to a particular claim, that claim, and only that claim, will be decided in court, and the rest of this section still applies to every other claim.
Coordinated filings. If 25 or more similar claims are filed against us with the help of the same law firm or group of firms, the AAA Mass Arbitration Supplementary Rules apply, and you and we agree to a process in which batches of claims are heard in sequence, with the result of each batch informing settlement discussions for the rest.
Jury trial waiver. To the extent any claim proceeds in court rather than arbitration, you and we each waive the right to a jury trial.
Opt-out. You may reject this arbitration agreement by emailing legal@returnfold.com or writing to our mailing address within 30 days after you first accept these Terms, with your name, the email address on your account and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms and does not affect any earlier arbitration agreement with us.
Changes. If we change this section after you accept these Terms, the change does not apply to a dispute for which either party has already given a notice of dispute, and you may reject the change by closing your account within 30 days after we notify you of it.
Survival. This section survives the closing of your account and the end of this agreement.
23. Governing law
These Terms and any dispute arising out of them are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to Section 22. Any claim that is not subject to arbitration must be brought in the state or federal courts sitting in Sheridan County, Wyoming, and you consent to their jurisdiction, except that you may bring a qualifying claim in the small claims court for the county where you live. Nothing in this section takes away a protection that the consumer-protection law of the state where you live gives you and does not allow you to waive.
24. Changes to these Terms
We may change these Terms. For a change that reduces your rights or increases your obligations, we will post the revised Terms in the App and email you at least 30 days before the change takes effect; other changes take effect when posted. Rate changes follow Section 6 and fee changes follow Section 14. Your continued use of the Services after a change takes effect is your acceptance of it. If you do not agree, close your account before the effective date, and the previous Terms govern the closing. The date at the top of these Terms shows when they were last revised, and earlier versions are available on request.
25. General provisions and how to reach us
Assignment. We may assign or transfer these Terms, your account and our obligation to you to an affiliate or to a successor to our business, and will notify you if we do. You may not assign your account or any right under these Terms, and any attempt to do so is void.
Entire agreement. These Terms, the Privacy Policy and any product-specific terms we present in the App are the whole agreement between you and us about the Services and replace any earlier agreement or statement, including anything in our advertising.
Severability and waiver. If any part of these Terms is held invalid, the rest remains in effect, and the invalid part is enforced to the fullest extent the law allows. Our failure to enforce a right is not a waiver of it.
Events beyond our control. We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, pandemic, war, labor disputes, government action, and failures of banks, networks, utilities or service providers.
Survival. Sections 9, 12, 15, 20, 21, 22, 23 and this Section 25 survive the closing of your account.
No third-party beneficiaries. These Terms benefit only you and us, except that the persons indemnified in Section 21 and covered by Section 22 may enforce those sections.
Complaints. If you have a complaint, message us in the App or email complaints@returnfold.com and we will respond within 15 business days. If you are not satisfied, you may contact the consumer protection office of the attorney general for the state where you live or the Federal Trade Commission at reportfraud.ftc.gov.
